Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the TiketCaribbean online event ticketing marketplace, including all related websites, mobile applications, and associated services (collectively, the "Service"), operated by CaribraConnect Technology Ltd (a company incorporated in the Republic of Trinidad and Tobago and also registered in Scotland), trading as TiketCaribbean ("TiketCaribbean," "we," "us," or "our").
By accessing or using the Service, registering an account, or completing any transaction through the platform, you ("User," "Organiser," or "Attendee") acknowledge that you have read, understood, and agree to be bound by these Terms and all policies incorporated herein by reference, including our Privacy Policy, Refunds & Cancellations Policy, and Intellectual Property & Trademark Policy (collectively, the "Platform Policies"). If you do not agree to these Terms or any of the Platform Policies in their entirety, you must not access or use the Service.
Each Platform Policy forms an integral part of these Terms and has the same legal effect as if set out in full herein. In the event of any conflict between these Terms and a specific Platform Policy, the Platform Policy shall prevail with respect to the subject matter it governs.
These Terms constitute a legally binding agreement between you and TiketCaribbean. We reserve the right to update or modify these Terms at any time in accordance with the Modification of Terms clause below.
2. Definitions and Interpretation
In these Terms, the following definitions apply:
- "Organiser" refers to any individual or entity that creates an event listing on TiketCaribbean for the purpose of selling tickets to Attendees.
- "Attendee" refers to any individual who purchases or attempts to purchase a ticket for an Event via TiketCaribbean.
- "User" refers collectively to both Organisers and Attendees, and any person who accesses or uses the Service.
- "Service" refers to the TiketCaribbean online event ticketing platform, including the website, mobile applications, APIs, and all related tools and features.
- "Event" means any event for which tickets are listed and sold through the Service.
- "Payment Provider" refers to any licensed third-party payment processing service authorised to process payments in connection with the Service, including but not limited to WiPay and PowerTranz.
- "Commission Fee" refers to the service fee charged by TiketCaribbean on ticket sales, as set out in the payment plan selected by the Organiser at the time of account registration, and as may be updated from time to time in accordance with these Terms.
- "User Content" means any content submitted, uploaded, or published by a User through the Service, including event descriptions, images, promotional materials, and communications.
- "Payout" refers to the disbursement of net ticket sale proceeds to an Organiser following an Event, subject to Payment Provider terms and applicable fraud checks.
- "Early Access Phase" has the meaning given to it in the Pre-Launch / Early Access Program clause of these Terms.
- "Submissions" means any questions, comments, suggestions, ideas, feedback, or other information about the Service that you directly send to us.
- "Contributions" means any content you submit, post, display, or publish to or through the Service for public viewing, including Community Voices content, photographs, videos, and articles.
References to "writing" include electronic communications where appropriate. Headings are for convenience only and shall not affect interpretation. The singular includes the plural and vice versa.
3. Pre-Launch / Early Access Program
The Service is currently operating in a pre-launch and/or early access testing phase ("Early Access Phase"). By registering for, accessing, or using the Service during this period, you acknowledge and agree to the following terms:
1. Experimental Nature of the Service
The Service is not yet fully released to the public and may contain bugs, errors, interruptions, incomplete features, or technical issues. Certain features may be added, modified, limited, or removed at any time without notice.
You acknowledge that the Service is provided on an "as is" and "as available" basis during the Early Access Phase.
2. Active Feature Testing
During Early Access, users may:
- Create and manage events
- Purchase tickets
- Process payments via integrated third-party payment providers
- Access selected platform features
The purpose of this phase is to test functionality, user experience, infrastructure performance, fraud controls, and payment processing systems under real-world conditions.
3. Payment Processing During Early Access
Financial transactions may occur during the Early Access Phase.
All payments are processed through licensed third-party payment providers. TiketCaribbean does not directly hold or control customer funds.
By using the Service during this period, you acknowledge:
- Payment systems may be subject to temporary outages or errors
- Settlement timelines may vary
- Refund workflows may be manually reviewed
- Fraud detection measures may trigger temporary holds
We are not liable for losses resulting from third-party processor errors, delays, chargebacks, or technical failures beyond our reasonable control.
4. Organiser Acknowledgment of Risk
Event organisers participating in Early Access acknowledge that:
- The platform is still under active development
- Payout processes may evolve
- Fraud detection rules may change
- Temporary account reviews or suspensions may occur
Organisers assume the commercial risk associated with participating in an early-access-stage marketplace.
5. Feedback and Data Usage
By participating in Early Access, you agree that:
- We may collect usage data, analytics, and performance metrics
- We may request feedback, surveys, or bug reports
- Feedback provided may be used to improve the platform without compensation
All feedback becomes the property of the Company.
6. Confidentiality of Early Access Features
You agree not to:
- Publicly disclose non-public features
- Share screenshots of unreleased tools
- Misrepresent early access functionality as final product capability
This obligation survives the conclusion of the Early Access Phase.
7. No Guaranteed Continuity
We reserve the right to:
- Modify or discontinue features
- Reset user data if required for system integrity
- Delay full launch
- Terminate the Early Access Phase at any time
Participation in Early Access does not guarantee permanent access, priority placement, or preferential pricing unless expressly stated in writing.
8. Limitation of Liability During Early Access
To the fullest extent permitted by law:
The Service during Early Access is provided without warranties of any kind. We disclaim liability for:
- Platform downtime
- Data loss
- Revenue loss
- Event cancellation losses
- Payment processing interruptions
- Technical malfunction
Users participate in Early Access at their own risk.
9. Transition to Full Launch
Upon official launch, continued use of the Service will be governed by the full Terms of Service then in effect. We may require re-acceptance of updated terms.
4. Eligibility
To access and use the Service, you must:
- Be at least sixteen (16) years of age to register and hold an account. Users aged 16 or 17 must have the consent of a parent or legal guardian to use the Service and to enter into any transactions;
- Have the legal capacity to enter into a binding contract under the laws of the Republic of Trinidad and Tobago or, if you reside in another jurisdiction, the applicable laws of that jurisdiction;
- Not be prohibited from using the Service under any applicable law, regulation, or sanctions regime;
- Not have had a prior account suspended or terminated by TiketCaribbean for violations of these Terms or applicable law;
- Not be a convicted sex offender or subject to a court order prohibiting access to platforms of this nature.
Minors attending Events. The age requirement above applies to holding a TiketCaribbean account, not to attending Events. Children and young people under 16 may attend age-appropriate Events where the Organiser permits, provided a parent or legal guardian registers for the Event and purchases the ticket on their behalf through the guardian's own account. The accompanying adult is responsible for the minor's attendance and for complying with any age restrictions, entry conditions, or supervision requirements set by the Organiser. Organisers are solely responsible for setting, communicating, and enforcing age restrictions for their Events.
By using the Service, you represent and warrant that you satisfy all eligibility requirements. TiketCaribbean reserves the right to refuse access to any person who does not meet these requirements or who provides false or misleading eligibility information.
5. Account Registration and Verification
To access certain features of the Service, you must register and maintain an account. When creating an account, you agree to:
- Provide accurate, current, and complete registration information;
- Promptly update your information to ensure it remains accurate and complete;
- Maintain the confidentiality of your login credentials and not share them with any third party;
- Accept full responsibility for all activities occurring under your account;
- Notify us immediately of any unauthorised use of your account or any security breach.
TiketCaribbean reserves the right to request additional verification documentation at any time, including government-issued identification, business registration documents, or proof of event authorisation, in order to confirm identity and compliance with applicable law. Failure to provide requested verification may result in suspension or termination of your account.
You may not create more than one account without our prior written consent. Accounts are non-transferable.
6. User Representations
By using the Service, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these Terms; (4) you are not under the age of 16; (5) you are not a minor in the jurisdiction in which you reside, or if a minor aged 16 or 17, you have received parental permission to use the Service; (6) you will not access the Service through automated or non-human means, whether through a bot, script, or otherwise; (7) you will not use the Service for any illegal or unauthorised purpose; and (8) your use of the Service will not violate any applicable law or regulation.
If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Service (or any portion thereof).
7. Prohibited Activities
You may not access or use the Service for any purpose other than that for which we make the Service available. The Service may not be used in connection with any commercial endeavours except those that are specifically endorsed or approved by us.
As a user of the Service, you agree not to:
- Systematically retrieve data or other content from the Service to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us;
- Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords;
- Circumvent, disable, or otherwise interfere with security-related features of the Service, including features that prevent or restrict the use or copying of any Content or enforce limitations on the use of the Service and/or the Content contained therein;
- Disparage, tarnish, or otherwise harm, in our opinion, us and/or the Service;
- Use any information obtained from the Service in order to harass, abuse, or harm another person;
- Make improper use of our support services or submit false reports of abuse or misconduct;
- Use the Service in a manner inconsistent with any applicable laws or regulations;
- Engage in unauthorised framing of or linking to the Service;
- Upload or transmit (or attempt to upload or to transmit) viruses, Trojan horses, or other material, including excessive use of capital letters and spamming (continuous posting of repetitive text), that interferes with any party's uninterrupted use and enjoyment of the Service or modifies, impairs, disrupts, alters, or interferes with the use, features, functions, operation, or maintenance of the Service;
- Engage in any automated use of the system, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools;
- Delete the copyright or other proprietary rights notice from any Content;
- Attempt to impersonate another user or person or use the username of another user;
- Upload or transmit (or attempt to upload or to transmit) any material that acts as a passive or active information collection or transmission mechanism, including without limitation, clear graphics interchange formats, 1x1 pixel web bugs, cookies, or other similar tracking devices (sometimes referred to as 'spyware' or 'passive collection mechanisms');
- Interfere with, disrupt, or create an undue burden on the Service or the networks or services connected to the Service;
- Harass, annoy, intimidate, or threaten any of our employees or agents engaged in providing any portion of the Service to you;
- Attempt to bypass any measures of the Service designed to prevent or restrict access to the Service, or any portion of the Service;
- Copy or adapt the Service's software, including but not limited to HTML, JavaScript, or other code;
- Except as permitted by applicable law, decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Service;
- Use, launch, develop, or distribute any automated system, including without limitation, any spider, robot, cheat utility, scraper, or offline reader that accesses the Service, or use or launch any unauthorised script or other software, except as may be the result of standard search engine or internet browser usage;
- Use a buying agent or purchasing agent to make purchases on the Service;
- Make any unauthorised use of the Service, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email, or creating user accounts by automated means or under false pretences;
- Use the Service as part of any effort to compete with us or otherwise use the Service and/or the Content for any revenue-generating endeavour or commercial enterprise not authorised by us;
- Sell or otherwise transfer your profile or account to any third party.
8. Organiser Obligations and Representations
By creating an event listing on TiketCaribbean, each Organiser represents, warrants, and agrees that:
- All information contained in the event listing is accurate, complete, and not misleading;
- The Organiser holds all necessary permits, licences, and approvals required to host the Event in the relevant jurisdiction;
- The Organiser complies with all applicable laws and regulations, including but not limited to health and safety, consumer protection, data protection, and licensing laws;
- The Organiser is solely responsible for the delivery, quality, and cancellation or postponement of the Event;
- The Organiser is solely responsible for managing access control, ticket validation, and attendee safety at the Event;
- The Organiser will not engage in fraudulent activity, ticket touting, price manipulation, or any practice that may harm Attendees or the integrity of the platform;
- The Organiser's event listing complies with TiketCaribbean's Caribbean Relevance Guidelines as set out in these Terms.
TiketCaribbean is not responsible for event quality, event cancellations, event postponements, venue failures, or any other Organiser obligation. Any claims by Attendees arising from such matters are solely the responsibility of the Organiser.
Organisers acknowledge that TiketCaribbean acts as a technology platform only and does not assume any liability for the Organiser's obligations to Attendees.
TiketCaribbean may display a "Verified" or "Identity Verified" badge, or similar trust indicator, against an Organiser's profile where that Organiser has completed the corresponding identity checks described in our Organiser Badges page. Such badges confirm only that the stated identity, contact, and (where applicable) government-issued identification checks have been completed. They are not a guarantee, endorsement, or warranty by TiketCaribbean as to the quality, safety, or legitimacy of any Event, the Organiser's conduct, or the Organiser's ability or willingness to honour its obligations to Attendees, which remain governed by Sections 8 and 14 of these Terms and our Refunds & Cancellations Policy.
9. Attendee Obligations
By purchasing a ticket or registering for an Event through TiketCaribbean, each Attendee agrees to:
- Provide accurate, truthful, and complete information when making a purchase;
- Comply with all rules, entry requirements, and conditions of attendance set by the Organiser;
- Not reproduce, transfer, sell, or fraudulently use tickets purchased through the Service;
- Direct all event-specific complaints, refund requests, and disputes to the Organiser in the first instance;
- Not engage in any conduct at the Event that is unlawful, disruptive, or harmful to other attendees.
TiketCaribbean is not responsible for the Attendee's inability to attend an Event, event cancellations, changes to Event details, or the quality of the Event experience. All such matters are the exclusive responsibility of the Organiser.
10. Event Content & Caribbean Relevance
TiketCaribbean is a marketplace dedicated to events relevant to Caribbean culture and communities. All events listed on the Service must meet at least one of the following criteria:
- Events hosted in Caribbean countries or territories;
- Events organised by Caribbean communities or organisers;
- Events celebrating Caribbean music, food, art, culture, or traditions;
- Events intended for the Caribbean diaspora community.
Organisers are solely responsible for all User Content submitted to the Service. By submitting User Content, the Organiser warrants that they hold all necessary rights, licences, and permissions to publish such content and to grant TiketCaribbean the licence described in the Intellectual Property clause below.
TiketCaribbean may review, reject, edit, or remove any User Content at its sole discretion, without prior notice, where it determines the content to be inaccurate, misleading, unlawful, or non-compliant with these Terms or platform guidelines. We reserve the right to terminate accounts for repeated or material breaches of content standards.
11. Commission and Fee Structure
TiketCaribbean charges a Commission Fee on each ticket sold through the Service. The applicable Commission Fee is determined by the payment plan selected by the Organiser at the time of account registration and will be clearly set out within the Organiser's account dashboard.
TiketCaribbean reserves the right to introduce, amend, or update the Commission Fee structure with reasonable notice to Organisers. Continued use of the Service following notification of a fee change constitutes acceptance of the revised fee.
The Commission Fee is deducted from the gross ticket sale proceeds before Payout to the Organiser. Additional payment processing fees charged by the Payment Provider may also apply and are separate from TiketCaribbean's Commission Fee.
For free events with no ticket charges, no Commission Fee applies. TiketCaribbean reserves the right to introduce fees for additional platform features or services with prior notice.
12. Payment Processing Disclaimer
All payments processed through the Service are handled exclusively by licensed third-party Payment Providers. TiketCaribbean does not hold, store, process, or control customer funds at any point in the transaction lifecycle.
TiketCaribbean acts solely as a technology platform facilitating the connection between Organisers and Attendees. It is not a financial institution, payment institution, money services business, escrow provider, or payment intermediary and does not assume any regulatory obligations in those capacities.
By using the Service to process payments, you acknowledge and agree that:
- Your payment information is collected and processed solely by the applicable Payment Provider, subject to their terms and privacy policies;
- TiketCaribbean has no access to, and accepts no liability for, payment data held by Payment Providers;
- TiketCaribbean is not liable for any errors, failures, delays, fraud, or other incidents arising from Payment Provider operations;
- Payment Provider terms and conditions govern the processing of all financial transactions.
13. Payout Timing and Dispute Handling
Payouts to Organisers are disbursed following the conclusion of the relevant Event, subject to the following conditions:
- Successful completion of any fraud checks or compliance reviews required by TiketCaribbean or the Payment Provider;
- Compliance with the Payment Provider's payout terms and timelines;
- No outstanding chargebacks, disputes, or holds on the Organiser's account;
- The Organiser's account being in good standing with no active violations of these Terms.
TiketCaribbean does not guarantee specific payout timelines. Payout schedules are determined by the applicable Payment Provider and are subject to variation.
All disputes regarding payment processing, disbursements, or transaction errors shall be directed to and handled exclusively by the applicable Payment Provider. TiketCaribbean will provide reasonable assistance in facilitating communication between parties where possible, but shall not assume liability for the resolution or outcome of payment disputes.
14. Refund Policy
Each Organiser is solely responsible for establishing, communicating, and honouring a refund policy for their Event. The applicable refund terms must be clearly stated on the event listing prior to ticket sales commencing.
TiketCaribbean does not process, fund, or guarantee refunds. Attendees seeking refunds must direct their requests to the Organiser in accordance with the Organiser's stated refund policy.
In the event of Event cancellation or significant changes to an Event, the Organiser is solely responsible for issuing refunds to Attendees in compliance with applicable consumer protection law. TiketCaribbean's Commission Fee is non-refundable in all circumstances unless expressly agreed otherwise in writing.
TiketCaribbean accepts no liability for an Organiser's failure to issue refunds or comply with their stated refund policy.
15. Fraud, Chargeback, and Risk Allocation
TiketCaribbean implements reasonable fraud detection and prevention measures; however, it cannot guarantee the elimination of fraudulent activity on the platform. TiketCaribbean shall not be liable for any losses incurred by Organisers or Attendees as a result of fraudulent transactions, identity fraud, or payment fraud perpetrated by third parties.
In the event of a chargeback initiated by an Attendee:
- The Organiser acknowledges full responsibility for responding to and resolving the chargeback with the Payment Provider;
- TiketCaribbean may withhold, reverse, or reclaim Payout amounts equal to the disputed transaction value pending resolution;
- Repeated or excessive chargebacks may result in account suspension or termination.
Organisers who are found to have engaged in fraudulent event listings, ticket overselling, or misrepresentation will be immediately suspended, and relevant information may be disclosed to law enforcement authorities or regulators as required.
TiketCaribbean expressly disclaims all liability for losses arising from fraudulent Organisers, fraudulent Attendees, Payment Provider errors, or third-party fraud beyond our reasonable control.
16. Intellectual Property
Our Intellectual Property
All intellectual property rights in the Service, including but not limited to trademarks, logos, trade names, software, databases, designs, text, graphics, and other proprietary materials (collectively, the "Content"), are owned by or licensed to CaribraConnect Technology Ltd. Nothing in these Terms transfers any intellectual property rights to you. The Content is provided in or through the Service for your personal, non-commercial use or internal business purpose only.
Your Use of Our Services
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to:
- access the Service; and
- download or print a copy of any portion of the Content to which you have properly gained access,
solely for your personal, non-commercial use or internal business purpose.
Except as set out in this section or elsewhere in these Terms, no part of the Service and no Content may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.
Your Submissions
By directly sending us any question, comment, suggestion, idea, feedback, or other information about the Service ("Submissions"), you agree to assign to us all intellectual property rights in such Submission. You agree that we shall own this Submission and be entitled to its unrestricted use and dissemination for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you.
Your Contributions
The Service may invite you to post, contribute to, or participate in content areas such as Community Voices, including photographs, videos, articles, and other material ("Contributions"). Contributions may be viewable by other users of the Service and through third-party platforms.
When you post Contributions, you grant us a licence (including use of your name, trademarks, and logos): by posting any Contributions, you grant us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right and licence to use, copy, reproduce, distribute, sell, resell, publish, broadcast, retitle, store, publicly perform, publicly display, reformat, translate, excerpt (in whole or in part), and exploit your Contributions (including, without limitation, your image, name, and voice) for any purpose, commercial, advertising, or otherwise, to prepare derivative works of, or incorporate into other works, your Contributions, and to sublicence the licences granted in this section.
You are responsible for what you post or upload. By submitting Contributions through the Service, you confirm that you will not post any Contribution that is illegal, harassing, hateful, harmful, defamatory, obscene, bullying, abusive, discriminatory, threatening to any person or group, sexually explicit, false, inaccurate, deceitful, or misleading; to the extent permissible by applicable law, you waive any and all moral rights to any such Contribution; you warrant that any such Contributions are original to you or that you have the necessary rights and licences to submit them; and you warrant that your Contributions do not constitute confidential information.
We may remove or edit your Content: although we have no obligation to monitor any Contributions, we shall have the right to remove or edit any Contributions at any time without notice if in our reasonable opinion we consider such Contributions harmful or in breach of these Terms. If we remove or edit any such Contributions, we may also suspend or disable your account and report you to the relevant authorities.
Copyright Infringement
We respect the intellectual property rights of others. If you believe that any material available on or through the Service infringes upon any copyright you own or control, please contact us at support@tiketcaribbean.com.
17. Representations, Warranties and Disclaimers
You represent and warrant that: (a) you have the legal authority to enter into these Terms; (b) all information you provide is accurate and not misleading; (c) your use of the Service will comply with all applicable laws and regulations; and (d) you will not use the Service for any unlawful, fraudulent, or harmful purpose.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY THE LAWS OF THE REPUBLIC OF TRINIDAD AND TOBAGO, TIKETCARIBBEAN EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
TIKETCARIBBEAN DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. TIKETCARIBBEAN IS NOT RESPONSIBLE FOR THE ACTIONS, CONTENT, INFORMATION, OR DATA OF THIRD PARTIES, INCLUDING ORGANISERS, ATTENDEES, OR PAYMENT PROVIDERS.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY THE LAWS OF THE REPUBLIC OF TRINIDAD AND TOBAGO, TIKETCARIBBEAN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, exemplary, consequential, or punitive damages;
- Loss of profits, revenue, data, goodwill, or business opportunities;
- Event cancellations, changes, or the failure of any Organiser to deliver an Event;
- Payment processing errors, delays, chargebacks, or failures attributable to Payment Providers;
- Fraud perpetrated by Organisers, Attendees, or third parties;
- Unauthorised access to or alteration of your account or User Content;
- Interruption, suspension, or termination of the Service.
TIKETCARIBBEAN'S TOTAL AGGREGATE LIABILITY TO ANY USER, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), BREACH OF STATUTORY DUTY, OR OTHERWISE, SHALL NOT EXCEED THE TOTAL COMMISSION FEES PAID BY THAT USER TO TIKETCARIBBEAN IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR ONE HUNDRED UNITED STATES DOLLARS (USD $100.00), WHICHEVER IS GREATER.
Nothing in these Terms limits or excludes liability that cannot lawfully be excluded or limited, including: (a) liability for death or personal injury caused by negligence; (b) liability for fraud or fraudulent misrepresentation; or (c) any statutory rights that cannot be waived or excluded under applicable consumer protection legislation, including under the Consumer Rights Act 2015 for consumers ordinarily resident in the United Kingdom.
19. Indemnification
You agree to indemnify, defend, and hold harmless TiketCaribbean, CaribraConnect Technology Ltd, and their respective officers, directors, employees, agents, licensors, and successors from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable legal fees and disbursements) arising out of or in connection with:
- Your breach of any provision of these Terms;
- Your User Content, including any claim that such content infringes the rights of any third party;
- Your use or misuse of the Service;
- Your negligence, wilful misconduct, or violation of any applicable law or regulation;
- Any dispute between you and another User or third party arising from your use of the Service;
- Any tax liability, regulatory fine, or penalty arising from your activities on the platform.
TiketCaribbean reserves the right, at its own expense, to assume exclusive control of the defence of any matter subject to indemnification by you, in which event you will cooperate fully with TiketCaribbean in asserting any available defences.
20. Platform Suspension and Termination
TiketCaribbean reserves the right to suspend, restrict, or terminate your access to the Service at any time, with or without prior notice, for any of the following reasons:
- Actual or suspected breach of these Terms or applicable law;
- Fraudulent, deceptive, or unlawful activity on the platform;
- Failure to provide requested verification documentation;
- Repeated chargebacks, payment failures, or financial irregularities;
- Conduct that is harmful to other Users, the platform, or TiketCaribbean's reputation;
- Operational, technical, or security requirements.
Upon termination, your right to access the Service ceases immediately. TiketCaribbean may retain data as required by law or for legitimate business purposes. Termination shall not limit TiketCaribbean's right to pursue any available legal remedy for prior breaches.
You may close your account at any time by contacting us through the Support channel. Closure of your account does not relieve you of any obligations incurred prior to closure.
21. Force Majeure
TiketCaribbean shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to: acts of God, hurricanes, floods, earthquakes, fires, or other natural disasters; pandemics or public health emergencies; acts of war, terrorism, civil unrest, or government actions; strikes or industrial disputes; failure of third-party infrastructure, internet services, or telecommunications networks; or regulatory interventions or changes in law. In such circumstances, TiketCaribbean's obligations shall be suspended for the duration of the force majeure event.
22. Governing Law
These Terms and any dispute or claim arising out of or in connection with them, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Republic of Trinidad and Tobago, without regard to its conflict of law provisions. You agree that the courts of the Republic of Trinidad and Tobago shall have exclusive jurisdiction over any dispute not resolved through the dispute resolution process set out below, and you irrevocably submit to that jurisdiction.
If you are a consumer ordinarily resident in the United Kingdom, you may also benefit from mandatory protections under English law that these Terms do not and cannot override, including the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. CaribraConnect Technology Ltd is also registered in Scotland. UK consumers may seek redress through UK courts where English law mandatorily applies, notwithstanding the governing law clause above.
23. Dispute Resolution
Informal Negotiations
To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms (each a "Dispute" and collectively, the "Disputes") brought by either you or us (individually, a "Party" and collectively, the "Parties"), the Parties agree to first attempt to negotiate any Dispute (except those Disputes expressly excluded below) informally for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice from one Party to the other Party.
Binding Arbitration
If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute (except those Disputes expressly excluded below) will be finally and exclusively resolved by binding arbitration. The arbitration shall be conducted in Port of Spain, Trinidad and Tobago. The number of arbitrators shall be one (1). The proceedings shall be conducted in English. The governing law of the arbitration shall be the substantive law of the Republic of Trinidad and Tobago.
Restrictions
The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law: (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilise class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.
Exceptions to Informal Negotiations and Arbitration
The Parties agree that the following Disputes are not subject to the above provisions concerning informal negotiations and binding arbitration: (a) any Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a Party; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorised use; and (c) any claim for injunctive relief. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable, and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.
24. Data Protection and Privacy
TiketCaribbean is committed to protecting the privacy and personal data of all Users in accordance with applicable data protection laws, including the Data Protection Act of Trinidad and Tobago and, for users in the United Kingdom, the UK General Data Protection Regulation (UK GDPR) as retained in domestic law by the Data Protection Act 2018 (UK).
Our Privacy Policy sets out in full how we collect, use, store, share, and protect your personal data, and your rights in relation to that data. By using the Service, you acknowledge and agree to the collection and use of your personal data as described in our Privacy Policy, which forms part of these Terms by reference.
Organisers who collect personal data from Attendees through the Service independently assume responsibility for compliance with applicable data protection laws in respect of that data, including ensuring a lawful basis for processing and maintaining appropriate security measures.
25. No Partnership or Agency
Nothing in these Terms shall be construed to create a partnership, joint venture, agency, employment, or fiduciary relationship between TiketCaribbean and any User. TiketCaribbean is an independent technology platform provider. Organisers are independent contractors and are not agents, employees, or representatives of TiketCaribbean. No User is authorised to make any representation, commitment, or obligation on behalf of TiketCaribbean without prior written consent.
26. Modification of Terms
TiketCaribbean reserves the right to modify, amend, or replace these Terms at any time at its sole discretion. Where changes are material, we will provide reasonable notice by email, by posting a notice on the Service, or by such other means as we determine appropriate. The date of the most recent revision will be indicated at the top of these Terms.
Your continued access to or use of the Service after any such changes have come into effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must cease using the Service immediately.
27. Community Voices & User-Submitted Content
TiketCaribbean offers a "Community Voices" feature that allows registered Users to submit event listings, articles, reviews, photographs, videos, and other content ("Community Content") for publication on the platform. This section governs the submission, review, publication, and removal of Community Content.
27.1 Nature of Community Content
Community Content is submitted by individual members of the public and does not represent the views, opinions, or endorsements of TiketCaribbean, CaribraConnect Technology Ltd, or any of its officers, employees, or affiliates. Event listings submitted through the Community Voices feature are shared in good faith based on information provided by the submitter and have not been independently verified by TiketCaribbean unless explicitly stated otherwise.
27.2 Submission and Review
All Community Content is subject to editorial review by TiketCaribbean before publication. TiketCaribbean reserves the sole and absolute right to approve, reject, edit, modify, or remove any Community Content at any time, for any reason, without notice to the submitter. Submission of Community Content does not guarantee publication.
27.3 Community Voice Contributors
Users may apply to become a "Community Voice" contributor. Approval is at TiketCaribbean's sole discretion. Community Voice contributors are independent contributors and are not employees, agents, contractors, or representatives of TiketCaribbean. No payment, employment relationship, or obligation of any kind arises from a contributor's participation in the Community Voices programme.
27.4 User Representations and Warranties
By submitting Community Content, you represent and warrant that:
- All information provided is accurate and truthful to the best of your knowledge;
- You have the legal right and authority to submit the content, including any images, text, or media;
- The content does not infringe any third-party intellectual property rights, privacy rights, or other legal rights;
- The content does not contain false, misleading, defamatory, fraudulent, obscene, or unlawful material;
- You will not use the Community Voices feature to promote scams, counterfeit events, or fraudulent ticketing schemes.
27.5 Licence Grant
By submitting Community Content, you grant TiketCaribbean a non-exclusive, royalty-free, worldwide, perpetual, irrevocable licence to use, reproduce, modify, adapt, publish, translate, distribute, display, and sub-licence such content in connection with the Service. You retain ownership of any original content you submit, subject to this licence.
27.6 No Liability for Community Content
TiketCaribbean shall not be liable for any loss, damage, claim, or expense arising from or in connection with any Community Content, including but not limited to:
- Inaccurate, misleading, or outdated event information submitted by community members;
- Events that are cancelled, rescheduled, or that do not take place as described;
- Any transaction, loss of money, or interaction resulting from reliance on Community Content;
- Third-party claims arising from content submitted by Users.
Users rely on Community Content at their own risk and are advised to independently verify event details before making any financial or travel commitments.
27.7 Reporting and Removal
If you believe any Community Content is inaccurate, infringes your rights, or should be removed for any reason, please contact us using the 'Contact Support' feature. TiketCaribbean will review all reports in good faith and may remove or modify content at its discretion. Event organisers or rights holders who wish to have a listing removed may also submit a request through our support channels.
27.8 Indemnification
You agree to indemnify and hold harmless TiketCaribbean, CaribraConnect Technology Ltd, and its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from or related to Community Content you submit, including claims of intellectual property infringement, defamation, or breach of any applicable law or regulation.
27.9 Termination of Contributor Access
TiketCaribbean may suspend or terminate any User's ability to submit Community Content at any time, with or without cause, and without prior notice. Reasons for termination may include, but are not limited to, repeated submission of inaccurate content, violation of these Terms, abusive behaviour, or any conduct deemed harmful to the platform or its community.
28. Waitlist and Reservation Holds
Where an Event's tickets are sold out, the Service may offer Attendees the option to join a waitlist for that Event. Joining a waitlist does not guarantee that a ticket will become available or that the Attendee will be offered the opportunity to purchase one.
Where a ticket becomes available, TiketCaribbean may notify waitlisted Attendees in turn and place a temporary reservation hold on that ticket for a limited period (currently thirty (30) minutes, as displayed at the time of notification) to allow the Attendee to complete payment. If payment is not completed within the applicable hold period, the reservation lapses automatically, the Attendee's place in the queue for that ticket is forfeited, and the ticket may be offered to the next waitlisted Attendee or released for general sale.
TiketCaribbean reserves the right to modify, suspend, or discontinue the waitlist feature, or to change the duration of any reservation hold, at any time and without liability for any resulting loss of queue position or inability to purchase a ticket. Joining a waitlist does not constitute a contract for the sale of a ticket and creates no obligation on TiketCaribbean or the Organiser to supply one.
